By accessing or using Laravel (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.
2. Description of Service
Laravel provides a cloud-based point of sale software solution that enables businesses to process transactions, manage inventory, track customers, and analyze sales data. The Service includes web-based applications, mobile applications, and related support services.
3. Account Registration
To use the Service, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Subscription and Payment
Billing
Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. You agree to pay all fees associated with your subscription plan.
Free Trial
We may offer a free trial period. At the end of the trial, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends.
Refunds
Subscription fees are non-refundable except as required by law. No refunds or credits will be provided for partial months of service or unused features.
Price Changes
We reserve the right to modify our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
5. Acceptable Use
You agree not to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or interfere with the Service
- Attempt to gain unauthorized access to systems
- Collect user information without consent
- Engage in fraudulent activities
- Resell or redistribute the Service without authorization
6. Data Ownership
Your Data: You retain all rights to data you enter into the Service ("Your Data"). You grant us a limited license to use Your Data solely for providing the Service.
Our Service: We retain all rights to the Service, including all software, designs, and documentation. Nothing in these Terms transfers any intellectual property rights to you.
7. Data Security and Backup
We implement reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security.
While we perform regular backups, we recommend that you maintain your own backups of critical data. We are not liable for any data loss.
8. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.
We will make reasonable efforts to notify you of planned maintenance in advance.
9. Third-Party Services
The Service may integrate with third-party services (payment processors, shipping providers, etc.). Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services or their availability.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LARAVEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
- Any damages resulting from unauthorized access
Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Laravel, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
12. Termination
By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination.
13. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
